Hernandez & Cia. Abogados advised Corporacion Financiera de Desarrollo S.A. (“Cofide”) and Credit Suisse in the granting of a long-term financing to Lis Argentis Corporation (“Lis Argentis”) up to the amount of US$85 million.
Through this funding Lis Argentis will have sufficient resources to, by meeting a series of steps and through its subsidiary Consorcio Peruano Japones Intipuquio (“Intipuquio”), take control of Empresa Agroindustrial Cayalti (“Cayaltí”) and refloating to make it economically viable. Hernandez & Cía. Abogados also advised Cofide, as trustee of Cayaltí, in the structuring of the acquisition process.
Currently Cayalti is a company listed on the Lima Stock Exchange and has an ownership structure highly diffused: over 1,000 shareholders (almost all employees) within which is the Peruvian State. Due to the difficult economic situation, the company has been being administered by Cofide since 2003. With the financing provided by Cofide and the takeover of Intipuquio in Cayalti, the company will be able to pay debts held with banks and the tax authority, labor debts, among others.
The financing is subject to New York law and is secured by a security package under local law.
