Hernandez & Cía Abogados has advised Credicorp Capital Servicios Financieros (“Credicorp”), in structuring a financing of S/ 151 million (aprox. US$46.8MM) granted to Electro Dunas S.A.A. (“Electro Dunas”) and a linked financing of US$14 million granted in favor of Peru Power Company S.A.C (“Peru Power”), both by the Banco de Credito del Peru (“BCP”).
Electro Dunas financing was structured as a medium-term loan in separate tranches; the security package consisted of: (i) an asset trust; and, (ii) a trust of cash flows as a payment mechanism. On another hand, the financing of Peru Power was structured as a medium-term loan with a single tranche; the security package consisted of: (i) assets trust; (ii) trust of cash flows as payment mechanism; (iii) conditional contract assignment of conditional position on the main contracts of Peru Power; (iv) solidarity bond contract; and (v) modifications to the surface and usufruct contracts entered into by Peru Power pursuant to the operation of the Central.
