Hernández & Cía. Abogados advised Goldman Sachs Bank USA (“Goldman Sachs“) in: (i) the granting of a financing of up to US$ 15,000,000.00 in favor of E-Holding S.A.C. (a Peruvian subsidiary of the Navent group) in the context of the sale by Empresa Editora El Comercio S.A. of the Urbania and Aptitus digital businesses to E-Holding S.A.C. and Bumeran.com Perú S.A.C.; and (ii) the structuring of a Peruvian law-governed trust constituted over all the shares issued by E-Holding S.A.C. and Bumeran.com Perú S.A.C., to secure E-Holding S.A.C.’s obligations towards Goldman Sachs.
The Peruvian trust was constituted by Castor Development Corp., Bumeran Holdings II LLC, E-Holding II LLC and Navent II LLC as trustors, Goldman Sachs Bank USA as collateral agent and FiduPerú S.A. Sociedad Fiduciaria as trustee.
