On October 18, 2019, CVC and a group of shareholders owners of the majority of the stake in NISA (mainly natural persons), including AyF Wiese S.A., Fundación Augusto N. Wiese (as sellers), and Fondo Grupo Wiese through W Capital SAFI S.A. (as guarantor) entered into the Stock Purchase Agreement, according to which CVC assumed the obligation to purchase and the sellers assumed the obligation to sell up to 98.0411% of the shares issued by NISA. On January 7th, 2020, the deal closed, and CVC purchased the 98.0411% of NISA for an amount of more than US$[-]. (amount is CONFIDENTIAL) NISA owns shares representing 14.76% of the capital stock of Hermes, who in turn was valued for an enterprise value of approximately US$400,000,000.00.
The advisory services included also the negotiation and execution of a Shareholders Agreement between CVC, Grupo Wiese and De Osma Trust. As part of this transaction, Grupo Wiese and De Osma Trust agreed with CVC to keep a minority stake of shares at Hermes level.
